Senior Corporate Counsel, Commercial

Location: Minneapolis, MN | San Francisco, CA | Birmingham, AL

Support and scale our commercial legal function. Lead complex transactions, support procurement operations, manage contract lifecycle workflows, and advise on thirdparty risk, data use, and vendor governance. This role supports highgrowth operational teams across Growth, Procurement, Marketing, Technology, Finance, Product, and Operations.

Responsibilities

  • Draft, review, and negotiate a broad range of commercial contracts, including retail partner agreements, SaaS, technology, logistics, advertising agency agreements, and professional services agreements.
  • Lead legal review for procurement and vendor contracting strategy, including onboarding, due diligence, and ongoing vendor management.
  • Own and enhance CLM operations: template governance, fallback positions, approval matrices, and clause libraries.
  • Lead legal review for thirdparty partnerships, collaborations, and cobranded offerings.
  • Advise stakeholders on key legal risks related to contract terms, data privacy, security, indemnity, limitation of liability, and regulatory issues.
  • Develop legal enablement tools, trainings, and scalable contract playbooks; partner with InfoSec, Compliance, and Privacy teams on thirdparty risk frameworks and datasharing requirements.
  • Identify process improvements and drive automation opportunities in commercial legal workflows.

Qualifications

  • J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction.
  • 8+ years of legal experience with a strong focus on commercial transactions and vendor contracting, preferably with some inhouse experience.
  • Deep understanding of commercial negotiation, operational contracting, and business risk allocation.
  • Experience working crossfunctionally with nonlegal stakeholders in fastpaced environments (Procurement, Finance, IT, Marketing).
  • Strong written and verbal communication skills with attention to detail and a collaborative mindset; experience developing and delivering legal enablement tools, trainings, and scalable contract playbooks.
  • Familiarity with CLM tools (e.g., Lexion, Ironclad, DocuSign CLM) and contract automation frameworks.

Work Arrangement

Shipt considers candidates located near a Shipt office or workspace in Birmingham, San Francisco, or Minneapolis to be hybrid, providing flexibility to work from home (with leader approval) or at a Shipt office. Inoffice expectations will vary by role and leader. Certain roles may require inoffice presence on a fulltime basis.

Pay Range

  • Metro Areas (Boston, DC, Los Angeles, San Francisco, Seattle, New York City): $172,000$344,000
  • All other locations: $152,000$305,000

Salary ranges are guidelines; individual total compensation may vary based on qualifications, skill level, competencies, and work location.
